Any pathogen reduction or performance statements (including “up to” claims) are based on testing and may vary depending on real-world conditions, including footwear type, tread depth, soil load, environmental conditions, installation context, cycle time, usage frequency, and maintenance.

2.2 Not medical advice; no disease claims

Information on the Site is provided for general informational purposes and is not medical, clinical, or regulatory advice. Patho3Gen technology is intended for environmental/surface sanitation support and is not intended to diagnose, treat, cure, or prevent any disease.

2.3 Regulatory and safety responsibilities

You are solely responsible for determining whether a product is appropriate for your facility, use case, and compliance requirements (including workplace safety programs, environmental controls, and any federal/state/local rules or industry standards that apply to your operations). Patho3Gen products are designed to meet or exceed relevant safety standards for UV-C and ozone exposure limits when used properly.

3) Eligibility and Authorized Use

You may use the Site only if you can form a legally binding contract in your jurisdiction and are using the Site for lawful purposes.

You agree not to:

• use the Site in a way that violates any law or regulation;
• interfere with the Site’s security or operation;
• attempt to access non-public systems or data;
• scrape, spider, or harvest content or pricing/quote data without written permission;
• upload malicious code or attempt to reverse engineer any Site functionality.

4) Quotes, Orders, and Purchase/Service Terms

4.1 Quotes and proposals

Any quote, proposal, demo plan, implementation plan, or ROI discussion provided by Patho3Gen is non-binding until executed in a written agreement, order form, or accepted quote (each, a “Transaction Document”). Transaction Documents control if they conflict with these Terms.

4.2 Pricing, taxes, and fees

Prices may change without notice. Taxes, duties, shipping, installation, and other fees may apply depending on your location and requirements. You are responsible for all applicable taxes and governmental charges unless the Transaction Document states otherwise.

4.3 Subscriptions, monthly/quarterly plans, and support

If you purchase a monthly or quarterly plan (including maintenance, support, lamp replacement, service, or similar offerings), the specific scope, service levels, response times, renewal/cancellation terms, and fees will be defined in the applicable Transaction Document.

4.4 Acceptance, shipment, and risk of loss

Shipping terms, delivery timelines, and risk-of-loss provisions (if any) will be defined in the Transaction Document. If not specified, risk of loss transfers to you upon delivery to the carrier.

4.5 Returns and cancellations

Return eligibility, restocking fees, and cancellation rights (if any) are set by the Transaction Document. Custom or configured systems may be non-returnable.

5) Product Use, Safety, and Customer Responsibilities

You agree to:

• install and use products only as instructed by manufacturer documentation and any provided onboarding guidance;
• maintain safe placement, access control, and operating conditions appropriate to UV-C and ozone-based equipment;
• perform routine maintenance and replacements (e.g., lamps/components) as recommended;
• ensure your staff and visitors follow facility procedures for safe operation;
• comply with all workplace safety obligations, training requirements, signage requirements, and any required monitoring or documentation in your environment.

You acknowledge that improper installation, misuse, unauthorized modifications, or failure to maintain may reduce performance and may impact warranty coverage or support eligibility.

6) Intellectual Property and Permitted License

The Site and its content (text, graphics, video, photos, UI, trademarks, documentation, and other materials) are owned by Patho3Gen or its licensors and protected by intellectual property laws.

UVZone® is a registered trademark of Patho3Gen Solutions.

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your internal business evaluation and lawful purposes. You may not copy, modify, distribute, publicly display, or create derivative works except as expressly permitted in writing.

7) Testimonials, Case References, and Results

Testimonials and example results reflect individual experiences and specific conditions and do not guarantee that you will achieve the same outcomes. Outcomes depend on facility controls, operating conditions, and implementation discipline.

8) Third-Party Links and Services

The Site may link to third-party websites or services (including support portals). Third-party services are not controlled by Patho3Gen, and we are not responsible for their content, privacy practices, or availability. Your use of third-party services is at your own risk.

9) Privacy

Your use of the Site is also subject to our Privacy Policy. We collect information you provide (such as name, email, phone, and company information) to respond to inquiries and provide product information.

10) Disclaimers

10.1 Website content disclaimer

The Site and all content are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or trade usage.

11) Limited Warranty (Products)

Any product warranty is provided only as set forth in the applicable Transaction Document and/or written warranty materials delivered with the product. If no separate warranty is provided, products are provided as-is to the maximum extent permitted by law.

Warranty coverage (if any) may be voided by misuse, improper installation, unauthorized service, modification, failure to follow maintenance instructions, or use outside specified operating conditions.

12) Limitation of Liability

To the fullest extent permitted by law:

Patho3Gen will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, business opportunity, goodwill, or anticipated savings, arising out of or related to the Site, products, or services, even if advised of the possibility of such damages.

Patho3Gen’s total liability for any claim arising out of or relating to the Site or these Terms will not exceed the greater of (a) $100 or (b) the amounts you paid to Patho3Gen for the specific product or service giving rise to the claim in the three (3) months preceding the event giving rise to liability (if any).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13) Indemnification

You agree to defend, indemnify, and hold harmless Patho3Gen and its officers, directors, employees, contractors, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, or fees (including reasonable attorneys’ fees) arising out of or relating to:

• your misuse of the Site;
• your violation of these Terms;
• your violation of any law or regulation;
• your implementation, installation, or operation of products in your facility (except to the extent caused by our gross negligence or willful misconduct, where not prohibited by law).

14) Export, Sanctions, and Restricted Use

You represent that you are not located in, under the control of, or a national/resident of any country subject to U.S. sanctions or embargoes, and you are not on any U.S. government restricted-party list. You agree to comply with applicable export laws and regulations.

15) Changes to the Site or Terms

We may update the Site and these Terms from time to time. The “Last Updated” date shows the latest revision. Continued use of the Site after changes become effective constitutes acceptance of the revised Terms.

16) Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Florida, and you consent to personal jurisdiction and venue in those courts.

17) Miscellaneous

• Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
• No waiver: Failure to enforce a provision is not a waiver.
• Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
• Entire agreement: These Terms are the entire agreement regarding Site use and supersede prior or contemporaneous communications relating to Site access and use.
